15/08/2019, 22:07 Coordinated Universal Time, GENERAL

Resubmitted with full text of attachment below; The board of Evolve Education Group has appointed director Chris Scott as managing director of the company, accepting the resignation of chief executive Rosanne Graham, as the company modifies its structure and leadership in light of its Australian opportunities. Chris Scott, through his investment company J47 Pty Limited, is also Evolve's largest shareholder with an 18.96% shareholding. Acting chair Norah Barlow says the move follows deliberation by the board since the company's recent capital raise to enable an initial Australian phase of investment and the resignation of chief executive Rosanne Graham. In addition to appointing Chris Scott as managing director of the business, the board has appointed director Chris Sacre as Australia Country Manager, leading the company's operations in Australia. Together with Chris Scott, Chris Sacre has been leading the company's initial phase of Australian expansion. Following the resignation of chief executive Rosanne Graham, a search will begin for a New Zealand Country Manager for the company's New Zealand operations. Ms Barlow said the company was grateful for Ms Graham's significant contribution to the business, including the preparation of a three-year Turnaround Plan for the New Zealand business that was being implemented, and the building of a strong executive team, as well as playing an important role in the company's successful capital raising early in the year. Ms Graham said she had very much enjoyed her 13 months with the company, and the chance to build a strong team that was addressing the challenges facing the business. "I wish the business every success in New Zealand and in Australia," she said. Ms Barlow said that the leadership change and new structure would take effect from Monday the 26th of August and the board and new leadership would share further progress the business was making with both its New Zealand turnaround plan, and its Australian investments, at the company's annual shareholder meeting in September. The company also announced that Grainne Troute will retire from the Board. Ms Barlow thanked her for her committed contribution to Evolve since she joined the Board in 2017. The recruitment search for a new Chair of the Board is well underway, considering candidates from New Zealand and Australia. The search will now include an additional independent director to replace Ms Troute.
