About the Institute

The NZX Corporate Governance Institute was founded in 2022 to assist NZX in delivering its corporate governance policy settings for the NZX Main Board.

The purpose of the Institute is to assist NZX, by providing advice in relation to the development of the NZX Corporate Governance Code and rule settings that apply to the corporate governance practices of issuers on the NZX Main Board.

The Institute is comprised of members which together, represent a broad cross section of the market and a holistic view of corporate governance practices. The Institute's establishment members currently comprise of a cross-over member from the ASX Corporate Governance Council and members who represent institutional and retail investors, corporates, experienced board directors and academia.

Role of the Institute

The Institute will be a market leader for corporate governance settings that are appropriate for regional stock exchanges. Policy outcomes from the Institute will be evidence based and informed by research and data, with a focus towards balancing the need for investor protections and increased capital flows. The primary functions of the Institute are as follows:

  • providing advice, for NZX’s consideration, which are consistent with the Institute’s purpose, in relation to the corporate governance practices to be adopted by Issuers under the NZX Corporate Governance Code and the NZX Listing Rules;
  • monitoring international and regional corporate governance practices;
  • conducting or commissioning research in relation to corporate governance matters that is both consistent with the Institute’s purpose and designed to enhance the reputation of the Institute; and
  • undertaking such other activities related to the corporate governance practices to be adopted by Issuers, as are approved by NZX.
